WHEREAS

The Purchaser (defined herein) has requested, and the Company (defined herein) has agreed, that the Company will provide certain services for the Purchaser.

NOW THEREFORE

In consideration of the premises and the terms and conditions herein contained, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties hereto agree as follows:

ACCEPTANCE OF THE TERMS AND CONDITIONS

The following terms and conditions (these "Terms and Conditions") constitute an agreement between 1000457968 Ontario Inc. (operating as “Sleep Goals Inc.”) (the "Company", "we", "us", "our") and you (the "Purchaser" or "you"), for the provision of services offered by the Company.

Schedule “A” attached hereto forms part of these Terms and Conditions and is to be construed as a binding component of these Terms and Conditions.

All orders, purchases, or transactions for the sale of services offered by the Company are subject to these Terms and Conditions, including, without limitation, the disclaimers herein.

REFUNDS

The services offered by the Company are outlined in Schedule “A” attached to these Terms and Conditions (the "Services"). The Services offered by the Company are categorized into two packages of services (collectively, the "Packages"; each individually, the "Package"). The Packages of services are as follows:

Package A – “Baby Sleep Support”

Package B – “Toddler/Preschooler Sleep Support”

Package C- "Twins Sleep Support"

In addition to the above Packages, the Company offers addon services to the Packages. Those add ons are as follows:

-Live Text Support

-Extra Support Call

• Past Client Call

For each Package, a sleep plan is provided (the "Sleep Plan"). The Sleep Plan is a customized step-by-step guide that seeks to address your child’s specific sleep needs. After the Sleep Plan is delivered, the following bundle of services are made available to you (the "Support"):

-Daily email and voice note support for 14 days.

-Daily review of sleep tracking using third-party applications.

-Two 15-minute support calls during the two-week training period.

-Access to our Sleep Tips & Resource Guide.

Refund Terms:

(a) Prior to receiving the Sleep Plan, refunds will be processed within 72 hours of a refund request.

(b) A $35 processing fee will be deducted from the total refund amount.

(c) No refunds will be permitted after the Sleep Plan is delivered to the Purchaser.

(d) After the Sleep Plan is delivered, the Purchaser will have 90 calendar days to use the Support, after which the Support services will no longer be available for use.

MEDICAL, HEALTH, AND SERVICES DISCLAIMER

DIANA MARTINS ("DIANA") IS NOT A DOCTOR, PHYSICIAN, NURSE, PHYSICIAN’S ASSISTANT, ADVANCED PRACTICE NURSE, OR ANY OTHER MEDICAL PROFESSIONAL ("MEDICAL PROVIDER"), PSYCHIATRIST, PSYCHOLOGIST, THERAPIST, COUNSELOR, OR SOCIAL WORKER ("MENTAL HEALTH PROVIDER"), REGISTERED DIETICIAN OR LICENSED NUTRITIONIST.

DIANA IS NOT PROVIDING HEALTH CARE, MEDICAL, OR NUTRITIONAL THERAPY SERVICES, OR ATTEMPTING TO DIAGNOSE, TREAT, PREVENT OR CURE ANY PHYSICAL, MENTAL, OR EMOTIONAL ISSUE, DISEASE, OR CONDITION. THE INFORMATION PROVIDED ON OR THROUGH THE WEBSITE, OR THROUGH ANY SERVICES PROVIDED BY THE COMPANY OR BY DIANA IS NOT INTENDED TO BE PROFESSIONAL MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT, OR BE A SUBSTITUTE FOR PROFESSIONAL MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT PROVIDED BY YOUR OWN OR YOUR CHILD’S MEDICAL PROVIDER OR MENTAL HEALTH PROVIDER.

ALWAYS SEEK THE ADVICE OF YOUR OWN OR YOUR CHILD’S MEDICAL PROVIDER AND MENTAL HEALTH PROVIDER BEFORE IMPLEMENTING ANY RECOMMENDATIONS FROM THE COMPANY OR DIANA.

WEBSITE AND SERVICES DISCLAIMER

The website, "WWW.SLEEPGOALS.CA" (the "Website"), its content, and any services found or attained through the Website or through the Company are provided on an "as available" basis, without any warranties or conditions of any kind, either express or implied.

Your use of the Website is at your own risk, and neither the Company nor its affiliates have any responsibility or liability for your use of the Website.

LIMITATION ON LIABILITY

EXCEPT WHERE PROHIBITED BY LAW, UNDER NO CIRCUMSTANCE WILL THE COMPANY NOR ITS REPRESENTATIVES BE LIABLE FOR ANY DAMAGES ARISING FROM YOUR USE OR INABILITY TO USE THE SERVICES OR WEBSITE.

INDEMNIFICATION

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless the Company and its representatives from and against any claims arising out of your breach of these Terms and Conditions or your use of the Website.

GOVERNING LAW AND CHOICE OF FORUM

These Terms and Conditions will be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada as applicable.

INDEPENDENT LEGAL ADVICE

The parties acknowledge they have had the opportunity to obtain independent legal advice and confirm their understanding of these Terms and Conditions.

AMENDMENTS AND MODIFICATIONS

No amendments or modifications to these Terms and Conditions may be made unless agreed to by the parties in writing.

ASSIGNMENT

Neither party may assign their rights or obligations under these Terms and Conditions without prior written consent.

SEVERABILITY

If any provision of these Terms and Conditions is found invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

RECITALS BINDING

The recitals in these Terms and Conditions are binding and form part of the agreement.

ENTIRE AGREEMENT

These Terms and Conditions constitute the entire agreement between the Purchaser and the Company, superseding all prior understandings.

COUNTERPARTS

These Terms and Conditions may be executed in multiple counterparts and electronically, each of which shall be considered an original.

SERVICE PACKAGES

PACKAGE "A" – BABY SLEEP SUPPORT ($525)

Includes:

-Initial questionnaire and review of sleep habits

-1-to-1.5-hour video consultation

-Customized Sleep Guide

-14 days of email and voice note support

-Sleep Tips & Resource Guide

PACKAGE "B" – TODDLER/PRESCHOOLER SLEEP SUPPORT ($645)

Includes:

-Initial questionnaire and review of sleep habits

-1-to-1.5-hour video consultation

-Customized Sleep Plan

-14 days of email and voice note support

-Two 15-minute support calls

-Sleep Tips & Resource Guide

ADDON SERVICES (OPTIONAL)

-Live Text Support ($150): On-call support between 6:00 PM - 12:00 AM EST for the first night of training.

-Extra Support Call ($55): Additional 30-minute support call.
